Terms and Conditions For Professionals

Representation
The Company represents and warrants that, (1) all of the information provided to Connect For Therapy, LLC. is truthful and not misleading, fraudulent, defamatory, libelous, threatening, harassing, or obscene; (2) the Company is authorized to provide the services set forth in the Membership Form;

Indemnification
The Company agrees to pay any damages or expenses incurred by CFT, including all attorneys' fees and expenses, resulting from claims brought by the other parties regarding the inclusion of the Entry, or as a result of a breach of these Terms and Conditions. As per section 3. CFT is a Conduit, and is not involved in the day to day operations of a members business. In the event of a technical breach or material breach of this contract. CFT shall be entitled to liquidated damages in the amount of the full term of the contract. This provision shall survive the Term of this Agreement.

CFT is a Conduit
CFT is not involved in any actual transactions between service providers and clients. As a result, CFT has no control over the ability of clients to purchase services. CFT cannot and does not control whether or not clients will complete the process of hiring a provider for the services they have requested contact about. CFT cannot and does not guarantee that each client or supplier is whom they claim to be. In the event a service provider has a dispute with one or more clients, the supplier releases CFT and its agents and employees from claims, demands, and damages arising out of or in any way connected with that dispute.

Limitations of Liability
In no event will CFT or its agents be liable for any damages caused by any on line service, transmission, communications or computer system failure. In no event will CFT or its agents be liable for any consequential, incidental, or other damages including, but not limited to malpractice, revenues or profits or the cost of other forms of advertising.

Agencies and Partnership
CFT are independent contractors, and no agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by this Agreement. These Terms and Conditions shall be governed by and interpreted according to the laws of the State of California. These Terms and Conditions and the Membership Form describe the entire Agreement between CFT and the Company and supersede any other verbal or written agreements regarding the subject matter of this Agreement. This Agreement shall survive any change in ownership on the part of the Company.
